Volato Group to Rebrand as SOAR AI as the Company Scales AI Infrastructure Business
Approximately $1.2 billion of contracted customer demand anchors Ohio AI infrastructure campus; Company pursuing additional customers and expansion opportunities
NORTH CANTON, Ohio--(BUSINESS WIRE)-- Volato Group, Inc. (NYSE American: SOAR) (the “Company”) today announced that it is unveiling a strategic rebranding of the Company, including changing its corporate name to SOAR AI, Inc., reflecting the Company’s transformation into an AI infrastructure and software company following its recently completed merger with Alignment Engine Inc. This comprehensive rebrand also includes a new corporate logo and a fresh visual identity.
The name SOAR, Sovereign AI Resources, reflects the strategy and vision behind the company’s new identity. The strategy is centered on developing AI infrastructure that provides customers greater control over their data, models and computing environments while working with host communities to responsibly develop the power, water and industrial resources required to support AI infrastructure.
The Company currently expects the corporate name change to become effective on October 19, 2026, subject to applicable regulatory and stock exchange requirements. Trading under the new name, SOAR AI, Inc., is expected to begin on the NYSE American on October 20, 2026. The Company’s common stock will continue trading under its existing ticker symbol, “SOAR”, and the CUSIP number for the common stock is not expected to change, although the Company will provide further information if any change is required. The name change does not require any action by existing stockholders.
Management believes that the SOAR AI identity reflects the Company’s post-merger business, centered on AI infrastructure and complemented by AI-powered software platforms.

Building AI Infrastructure at Scale
The Company is actively constructing an AI infrastructure campus in Ohio designed to support artificial intelligence, machine learning and high-performance computing workloads. The initial phase includes data center infrastructure, power and cooling systems, high-density AMD GPU compute and high-performance networking.
In September 2026, the Company entered into a master services agreement and two four-year, take-or-pay orders with a large AI customer for dedicated GPU infrastructure. The orders have an aggregate contract value of approximately $1.17 billion and provide for contractual customer prepayments.
The first deployment will utilize AMD MI355X GPUs and has a contractual start date of December 31, 2026. The second deployment will utilize AMD MI455X GPUs and has a contractual start date of June 30, 2027. Both deployments are designed as dedicated, single-tenant GPU clusters.
The Company is also actively pursuing additional customers for its available and planned AI infrastructure capacity and evaluating opportunities for additional AI infrastructure and data center locations in the United States and internationally as part of its longer-term growth strategy.
The Sovereign AI Resources Strategy
The Sovereign AI Resources strategy is built around greater control over the critical resources required to develop and operate AI. For customers, the Company is developing dedicated AI environments intended to provide greater control over data, models, logs and the physical location of computing infrastructure. For host communities, the Company’s development model emphasizes the reuse of existing industrial sites and infrastructure, local employment and responsible management of power and water resources.
Management believes this approach can differentiate the Company as demand grows for dedicated, U.S.-based AI infrastructure, particularly among enterprises and organizations with data residency, security, auditability and infrastructure-control requirements. The Company intends to apply this approach as it evaluates additional AI infrastructure locations in the United States and internationally.
AI-Powered Aviation Software
The Company will also continue developing its aviation AI and software business. Its aviation AI platform is built on Parslee, an AI platform designed to execute and automate complex aviation workflows using business-specific context, shared memory and human oversight. The Company also operates Vaunt, its technology-enabled private aviation membership platform.
A New Identity for the Next Phase
The change from Volato Group, Inc. to SOAR AI, Inc. is intended to align the Company’s corporate identity with its current business and long-term strategy. The new name also maintains continuity with the Company’s existing ticker symbol.
In connection with the rebranding, the Company has launched a new corporate website at SOARAI.com and has transitioned its corporate communications and digital presence to the SOAR AI identity.
